TERMS AND CONDITIONS OF USE - WEROAD COORDINATORS/GROUP LEADERS APP
Welcome to WeRoad Coordinators/Group Leaders app (hereinafter, the "App"). The App is made available by WeRoad Swiss Sagl, with registered office at Via Maestri Comacini 4, 6830 Chiasso, Switzerland (hereinafter, "WeRoad"), to the Coordinators/Group Leaders who have passed the selection process and have been admitted to the WeRoad Coordinators/Group Leaders community (hereinafter, "Coordinator" or “Group Leader” or "User").
These Terms and Conditions (hereinafter, "T&C") govern the access to and use of the App. The use of the App is subject to the Coordinator/Group Leader's admission to and continued membership in the WeRoad Coordinators/Group Leaders community.
By downloading, accessing, or using the App, the Coordinator/Group Leader agrees to be bound by these T&C. If you do not accept these T&C, please do not use the App.
PURPOSE OF THE APP AND FUNCTIONALITY
The App is an operational support tool designed to facilitate trip management and communication between the Coordinator, trip participants (hereinafter, the "Pax"), and the WeRoad group.
Through the App, the Coordinator/Group Leader can, by way of example but not limitation:
View and manage their personal data and social media links (which may be shared on the WeRoad website, e.g., weroad.it/coordinatori).
Upload administrative documents (e.g., invoices) and personal documents (e.g., profile picture, passport, driver's license) through easy filling procedures.
Access the personal data of the Pax assigned to their trip, including any special categories of data (e.g., food intolerances, declared medical conditions) strictly necessary for trip management.
Participate in the forum dedicated to Coordinators/Group Leaders.
Receive push notifications of an exclusively operational nature (not marketing) related to assigned trips.
Access to the App is permitted to Coordinators/Group Leaders who are part of the WeRoad community. Access to the sections of the App relating to Pax data and operational trip details is limited to the periods of validity of the relative assignment contract.
ACCESS CREDENTIALS AND ACCOUNT SECURITY
Personal nature of credentials: Registration credentials (username, password, or other authentication methods) are strictly personal, must be used exclusively by the Coordinator/Group Leader, and cannot be transferred, shared, or communicated to third parties for any reason.
User Responsibility: The Coordinator/Group Leader guarantees that the data provided for accessing the App is complete, up to date, and truthful. All operations carried out using the registration credentials shall be deemed to have been performed by the Coordinator/Group Leader to whom they refer. The Coordinator/Group Leader is solely responsible for safeguarding their credentials and for all activities carried out through their account.
Reporting Obligation: The Coordinator/Group Leader is required to promptly inform WeRoad in the event of loss, theft, unauthorized use, or suspected unauthorized use of their credentials, or any other breach of security that comes to their attention.
Single Sign-On (SSO): If the App uses an authentication system shared with other platforms of the WeRoad group, the sharing of access data among group companies will take place in compliance with applicable personal data protection regulations, for the sole purpose of allowing access to and use of the services.
LICENSE FOR USE AND PROHIBITED ACTIVITIES
License for Use: WeRoad grants the Coordinator/Group Leader a limited, personal, non-exclusive, non-transferable, and revocable license to download, install, and use the App on their personal mobile device, exclusively for the operational purposes dictated by their role as Coordinator/Group Leader.
Prohibitions and Unauthorized Activities: When using the App, it is strictly forbidden for the Coordinator/Group Leader to:
Engage in reverse engineering, decompile, disassemble, modify, or create derivative works based on the App or any portion thereof.
Circumvent the computer systems used by WeRoad or its licensors to protect content accessible through the App.
Copy, store, modify, alter, or prepare derivative works of any content provided through the App.
Use the App for purposes other than those strictly related to coordinating activities for WeRoad (e.g., prohibition of commercial promotion of personal activities or third-party brands).
Extract data or content from the App using unauthorized automated tools (e.g., web scraping).
Post unlawful, defamatory, threatening, offensive, discriminatory, sexually explicit content on the forum or in other sections of the App, or content that violates the intellectual property or privacy rights of third parties.
SPECIFIC OBLIGATIONS OF THE COORDINATOR
When using the App, the Coordinator also undertakes to:
Confidentiality of Pax data: Treat the personal data of Pax (including health data) accessible through the App with the utmost confidentiality and in strict compliance with the DPA (Data Processing Agreement signed upon appointment). Such data must be used exclusively for trip management and must not be shared with unauthorized third parties or used for other purposes. At the end of the trip, any Pax personal data saved locally must be deleted.
Update the App: Keep the App updated.
Accuracy of entered data: Ensure that documents, invoices, and personal information uploaded to the App are accurate, up to date, and truthful.
Appropriate use of the Forum: Use the Coordinators/Group Leaders forum in a professional, respectful manner that complies with the WeRoad Code of Ethics.
AMENDMENTS TO THE APP AND THE T&C
Modifications to the App: WeRoad reserves the right to modify, update, suspend, or discontinue, temporarily or permanently, the App or part of its features due to maintenance needs, system updates, security reasons, or to comply with legal obligations. WeRoad will make reasonable efforts to inform Coordinators through updates or in-App notifications.
Amendments to the T&C: These General Conditions may be unilaterally amended by WeRoad, including to ensure compliance with applicable regulations or to adapt them to new functionalities. WeRoad undertakes to inform Coordinators/Group Leaders of major changes transparently and with reasonable notice. The right to make amendments with immediate effect, without notice, remains unaffected if necessary for security reasons or legal obligations. Continued use of the App following such communication will constitute acceptance of the amended T&C.
INTELLECTUAL PROPERTY
All intellectual property rights relating to the App (including but not limited to software, design, logos, trademarks, text, graphics, and databases) are the exclusive property of WeRoad, the WeRoad Group, or legitimate third-party owners who have authorized WeRoad. Use of the App does not grant the Coordinator/Group Leader any ownership rights over it, nor over the trademarks, designs, logos, etc.
SUSPENSION AND TERMINATION
WeRoad reserves the right to suspend or revoke access to the App at any time, upon reasoned notice (except in cases where immediate suspension is necessary for security reasons or by law), in the following cases:
Termination of membership in the WeRoad Coordinators/Group Leaders community.
Violation of these T&C (specifically the clauses on credentials and prohibited activities).
Use of the App that could result in a violation of applicable laws or regulations.
Reasonable grounds to believe that the account is being used by unauthorized third parties.
Access to the operational sections of the App related to Pax data and trip details is automatically restricted at the end of each coordination assignment, regardless of the Coordinator/Group Leader's ongoing membership in the community.
LIMITATION OF LIABILITY
The App is provided "as is" and "as available". WeRoad does not guarantee that the App will be free of errors, interruptions, or vulnerabilities. To the maximum extent permitted by applicable law, WeRoad disclaims all liability for any direct or indirect damages arising from the use of or inability to use the App, including loss of data. Nothing in these Conditions excludes or limits WeRoad's liability for intent or gross negligence.
The Coordinator/Group Leader agrees to indemnify and hold WeRoad harmless from any damage, claim, or penalty arising from an unlawful use of the App and/or the violation of these T&C.
GOVERNING LAW AND JURISDICTION
These T&C are governed by Swiss law. For any dispute arising out of or in connection with the interpretation, validity, or execution of these T&C, the Court of Lugano shall have exclusive jurisdiction.
