General Terms and Conditions of Participation in the Selection Weekend (United States)
PLEASE READ THESE GENERAL TERMS AND CONDITIONS (“TERMS”) CAREFULLY BEFORE REGISTERING FOR THE SELECTION WEEKEND. THESE TERMS CONTAIN A MANDATORY ARBITRATION PROVISION AND CLASS ACTION WAIVER IN SECTION 15 THAT MATERIALLY AFFECT YOUR LEGAL RIGHTS. THESE TERMS ALSO CONTAIN IMPORTANT LIMITATIONS ON WEROAD’S LIABILITY AND REQUIRE YOU TO ASSUME CERTAIN RISKS ASSOCIATED WITH PARTICIPATION IN THE SELECTION WEEKEND.
BY COMPLETING YOUR REGISTRATION, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS.
These Terms govern the contract between WeRoad, Inc., a corporation organized under the laws of the State of Delaware (“WeRoad,” “we,” “us,” or “our”), and each individual who applies for and is admitted to participate in the WeRoad Selection Weekend (“Participant,” “you,” or “your”). The Selection Weekend is a two-day selection event designed to identify and evaluate candidates for the role of WeRoad Group Leader. For details on the Selection Weekend program and the Group Leader selection process, please visit www.weroad.com under the “Become a Group Leader” section.
These Terms, together with any Admission Confirmation issued by WeRoad and the WeRoad Privacy Policy, form the binding contract between WeRoad and the Participant. These Terms supplement, and should be read alongside, the WeRoad Inc. General Terms and Conditions for Package Travel (U.S.) and the WeRoad Website Terms and Conditions, each available at www.weroad.com. In the event of any conflict between these Terms and the General Terms and Conditions for Package Travel with respect to the Selection Weekend, these Terms shall govern.

The Admission Confirmation will specify the date and location of the Selection Weekend and the deadline by which any registration documents are due, if applicable.
2.4 Contract Formation. A binding contract is formed between WeRoad and the Participant when the Participant submits acknowledgement of the Admission Confirmation to WeRoad. WeRoad reserves the right to withdraw an Admission Confirmation at its sole discretion prior to receipt of the Participant’s acknowledgement, in which case no contract shall have been formed.
2.5 WeRoad’s Discretion. WeRoad retains full and absolute discretion in evaluating applications, conducting group interviews, issuing Admission Confirmations, and making all decisions related to the Selection Weekend. No candidate has any right to admission to the Selection Weekend or to the Group Leader role by virtue of submitting an application.
3. SERVICES INCLUDED IN THE SELECTION WEEKEND
Being selected to join the Selection Weekend by WeRoad entitles the Participant to the following services:

5. CANCELLATION, POSTPONEMENT, AND MODIFICATIONS BY WEROAD
WeRoad reserves the unconditional right to cancel or postpone the Selection Weekend at any time and for any reason, including but not limited to insufficient applicants, Force Majeure Events, venue unavailability, or other operational considerations. In the event of cancellation by WeRoad, WeRoad will have no obligations to the Participant. WeRoad shall have no further liability to any Participant arising from a cancellation or postponement, including for any travel, accommodation, or other costs incurred by the Participant in anticipation of the Selection Weekend.
WeRoad also reserves the right, at any time and without liability, to modify the schedule, structure, content, activities, or format of the Selection Weekend. Such modifications will not entitle a Participant to any compensation unless the modification fundamentally changes the nature of the event.
6. SELECTION WEEKEND OUTCOME AND GROUP LEADER SELECTION
At the conclusion of the Selection Weekend, each Participant will receive written notice from WeRoad indicating whether they have been deemed suitable for the role of WeRoad Group Leader. This assessment is made entirely in WeRoad’s sole and absolute discretion, and WeRoad’s determination is final and not subject to appeal or review.
A Participant who is not selected as a Group Leader following the Selection Weekend is not entitled to any compensation from WeRoad. No compensation, damages, or other amounts will be payable by WeRoad in connection with a determination that a Participant is not suitable for the Group Leader role.
Participation in the Selection Weekend and selection as a Group Leader do not create any employment relationship, independent contractor relationship, partnership, joint venture, or any other legal relationship between the Participant and WeRoad unless and until a separate written agreement to that effect is executed by both parties.
7. PARTICIPANT CONDUCT
7.1 General Conduct Standard. All Participants are expected to conduct themselves in a respectful, professional, and lawful manner at all times during the Selection Weekend, including during the application process, the group interview, and all Selection Weekend activities. Without limiting the foregoing, Participants must comply with all applicable federal, state, and local laws and regulations, all WeRoad policies and instructions issued by WeRoad staff, and the standards set out in Section 7.4 (Prohibited Conduct and Items) below.
7.2 Removal for Conduct Violations. WeRoad reserves the right, in its sole discretion, to remove any Participant from the Selection Weekend at any time if WeRoad determines that the Participant’s conduct is disruptive, disrespectful, inappropriate, unsafe, or harmful to other Participants, WeRoad staff, or third parties, including any violation of Section 7.4 (Prohibited Conduct and Items). A Participant removed for conduct reasons will: (a) be solely responsible for all costs of their own travel, accommodation, and return; and (b) be disqualified from consideration for the Group Leader role. WeRoad may, in its sole discretion, report conduct it reasonably believes constitutes criminal activity to the relevant law enforcement authorities.
7.3 Future Disqualification. WeRoad reserves the right to disqualify any Participant who violates these conduct standards, including the Prohibited Conduct and Items listed in Section 7.4, from applying for future Selection Weekend sessions or Group Leader roles.
7.4 Prohibited Conduct and Items. The following conduct and items are expressly prohibited at all times during the Selection Weekend, including at all Selection Weekend venues, accommodations, and related activities:

Bringing, carrying, displaying, or using any weapon or item that could be used as a weapon, including without limitation firearms (whether licensed or unlicensed), ammunition, knives with blades exceeding three inches, tasers, pepper spray, or any other object reasonably capable of causing bodily harm.
(b) Illegal Drugs and Controlled Substances. Possessing, purchasing, distributing, or consuming any illegal drug, controlled substance, or any prescription medication that has not been lawfully prescribed to the Participant. Any Participant who requires prescription medication during the Selection Weekend must carry documentation of a valid prescription and must store and administer the medication in a lawful manner that does not affect their fitness to participate or the safety of others.
(c) Alcohol. Consuming alcohol in a manner that results in intoxication, impairs the Participant’s ability to safely participate in Selection Weekend activities, or disrupts other Participants or WeRoad staff. Any alcohol consumption must comply with applicable law, including minimum-age requirements.
(d) Other Impairing Substances. Possessing, distributing, or consuming any other substance, including but not limited to synthetic cannabinoids, hallucinogens, inhalants, or non-prescribed performance-enhancing drugs, that may impair judgment, coordination, or behavior.
(e) Harassment and Discrimination. Engaging in any form of harassment, bullying, intimidation, discrimination, or offensive conduct directed at any Participant, WeRoad staff member, or third party on the basis of race, color, national origin, sex, gender identity, sexual orientation, religion, disability, age, or any other characteristic protected by applicable law.
(f) Theft and Property Damage. Stealing, misappropriating, or intentionally damaging the property of WeRoad, other Participants, venue operators, or any third party.
(g) Unauthorized Recording. Recording, photographing, or otherwise capturing any Selection Weekend session, activity, or WeRoad proprietary material without WeRoad’s prior written consent, except as expressly permitted under Section 9.
(h) Violation of Law. Engaging in any conduct that constitutes a violation of applicable federal, state, or local law, including acts of violence, assault, battery, or any criminal offense.
A Participant who breaches any prohibition in this Section 7.4 will be subject to immediate removal from the Selection Weekend pursuant to Section 7.2, and WeRoad reserves the right to take such further action, including contacting law enforcement, as it considers appropriate in the circumstances.
8. INTELLECTUAL PROPERTY AND CONFIDENTIALITY
All materials, documents, presentations, images, and other content used, shared, or distributed during the Selection Weekend are proprietary to WeRoad and/or its licensors and are protected by U.S. copyright law, trademark law, and other applicable intellectual property laws. Participants may not copy, reproduce, distribute, publish, display, or otherwise use any Selection Weekend materials without WeRoad’s prior written consent.
By attending the Selection Weekend, Participants may be exposed to confidential and proprietary information regarding WeRoad’s operations, strategy, processes, technology, and business model. Each Participant agrees to keep all such information strictly confidential and not to use or disclose it for any purpose other than participation in the Selection Weekend, without WeRoad’s prior written consent. This confidentiality obligation survives the conclusion of the Selection Weekend and the termination of these Terms.
9. PHOTO, VIDEO, AND MEDIA CONSENT
During the Selection Weekend, photographs and videos may be taken that include Participants (the “Images”), for the purpose of enhancing participant engagement and for WeRoad’s informational and promotional activities.
By registering for the Selection Weekend and accepting these Terms, you grant WeRoad a perpetual, worldwide, irrevocable, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, distribute, publicly display, and create derivative works from the Images for any lawful commercial or non-commercial purpose, including advertising and marketing on any medium, including social media platforms.
Personal data associated with the Images will be processed in accordance with WeRoad’s Privacy Policy, available at www.weroad.com/legal/privacy-policy.
10. COMPLAINTS AND FORMAL COMMUNICATIONS
Any complaints or formal communications relating to the Selection Weekend or these Terms must be submitted in writing to selection@weroad.com. WeRoad will endeavor to acknowledge and respond to written complaints within a reasonable time.
Pre-Arbitration Requirement. No claim may be submitted to arbitration unless the written notice and 60-day negotiation requirements set forth in Section 15 have been satisfied.
11. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE WEROAD PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE SELECTION WEEKEND, OR YOUR PARTICIPATION THEREIN, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFIT, LOSS OF ANTICIPATED SAVINGS, LOSS OF OPPORTUNITY, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, OR LOSS OF DATA, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WEROAD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WEROAD’S MAXIMUM AGGREGATE LIABILITY TO ANY PARTICIPANT FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SELECTION WEEKEND SHALL NOT EXCEED $500.
WEROAD WILL NOT BE RESPONSIBLE FOR, AND WILL NOT PAY COMPENSATION IN RESPECT OF, ANY INJURY, ILLNESS, DEATH, LOSS, DAMAGE, EXPENSE, COST, OR OTHER CLAIM THAT RESULTS FROM: (A) THE ACTS, OMISSIONS, OR NEGLIGENCE OF THE PARTICIPANT; (B) THE ACTS, OMISSIONS, OR DEFAULT OF AN UNCONNECTED THIRD PARTY THAT WERE UNFORESEEABLE OR UNAVOIDABLE; OR (C) A FORCE MAJEURE EVENT.
WeRoad is not responsible for any costs incurred by a Participant in connection with applying for, preparing for, or attending the Selection Weekend, including transportation, accommodation, meals, or other personal expenses, regardless of whether the Selection Weekend is cancelled, postponed, modified, or whether the Participant is not selected as a Group Leader.
WeRoad is not responsible for the conduct of other Participants or third parties at the Selection Weekend.
12. ASSUMPTION OF RISK AND RELEASE
The Selection Weekend involves physical activities, group exercises, role-play scenarios, and other interactive activities that carry inherent and unavoidable risks, including the risk of personal injury or property damage. By registering for and attending the Selection Weekend, you acknowledge these inherent risks.
BY REGISTERING FOR THE SELECTION WEEKEND AND PARTICIPATING IN ITS ACTIVITIES, YOU ACKNOWLEDGE THAT YOU HAVE BEEN INFORMED OF THE INHERENT RISKS OF PARTICIPATION AND VOLUNTARILY ASSUME ALL SUCH RISKS, WHETHER KNOWN OR UNKNOWN, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU HEREBY RELEASE, WAIVE, AND DISCHARGE THE WEROAD PARTIES FROM ANY AND ALL LIABILITY, CLAIMS, DEMANDS, AND CAUSES OF ACTION ARISING FROM OR RELATED TO YOUR PARTICIPATION IN THE SELECTION WEEKEND, INCLUDING BUT NOT LIMITED TO CLAIMS FOR PERSONAL INJURY AND PROPERTY DAMAGE.
This assumption of risk and release does not apply to claims arising from WeRoad’s gross negligence or willful misconduct. Some states do not permit certain pre-injury releases of liability; in such states, this Section applies only to the maximum extent permitted by applicable law.
13. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless the WeRoad Parties from and against any and all third-party claims, liabilities, damages, judgments, awards, losses, costs, expenses, and attorneys’ fees arising out of or relating to: (a) your violation of these Terms; (b) your conduct during the Selection Weekend or in connection with your application; (c) your violation of any applicable law or regulation; or (d) any inaccurate or misleading representation made by you in connection with your application or registration.
14. GOVERNING LAW
These Terms and any Contract formed under them are governed by the laws of the State of Delaware, without regard to its conflicts of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
15. DISPUTE RESOLUTION AND ARBITRATION
Any arbitration under this Section shall be governed by the Federal Arbitration Act (“FAA”). No state arbitration laws or procedures shall apply.
Before either party initiates arbitration, that party must contact the other party by sending a written notice of the dispute. If you provide such notice to WeRoad, your notice must identify your name and contact information (including email address), describe the nature and basis of your claim and the relief you seek, and include the basis for any damages calculation. If you have retained an attorney, you must identify the attorney and confirm that WeRoad has authority to disclose to the attorney any information relevant to resolving your claim. Each side must negotiate in good faith to resolve the dispute for sixty (60) days after delivery of the written notice before initiating arbitration. Any applicable limitations period shall be tolled during this sixty-day negotiation period. Failure to comply with this pre-arbitration notice and negotiation requirement is grounds for dismissal of any arbitration proceeding.
ALL CLAIMS WILL BE RESOLVED BY BINDING ARBITRATION RATHER THAN IN COURT, EXCEPT THAT EITHER PARTY MAY ASSERT CLAIMS IN A SMALL CLAIMS COURT OF COMPETENT JURISDICTION IF THE CLAIM QUALIFIES. THERE IS NO JUDGE OR JURY IN ARBITRATION, AND COURT REVIEW OF AN ARBITRATION AWARD IS LIMITED.
THE ARBITRATION WILL BE ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (“AAA”) UNDER ITS THEN-APPLICABLE RULES, INCLUDING (AS APPROPRIATE) ITS CONSUMER ARBITRATION RULES AND MASS ARBITRATION SUPPLEMENTARY RULES. IF THERE IS A CONFLICT BETWEEN THIS ARBITRATION PROVISION AND THE AAA RULES, THIS ARBITRATION PROVISION WILL GOVERN. THE AAA’S RULES ARE AVAILABLE AT HTTP://WWW.ADR.ORG/. THE ARBITRATION WILL BE CONDUCTED IN THE ENGLISH LANGUAGE BY A SINGLE INDEPENDENT AND NEUTRAL ARBITRATOR. FOR ANY HEARING CONDUCTED IN PERSON, THE HEARING WILL BE HELD WITHIN 100 MILES OF WHERE YOU RESIDE. IF THE ARBITRATOR DETERMINES THAT YOUR CLAIM WAS FRIVOLOUS OR BROUGHT FOR AN IMPROPER PURPOSE, YOU SHALL REIMBURSE WEROAD FOR ANY COSTS OR FEES PAID BY WEROAD ON YOUR BEHALF. THE ARBITRATOR’S DECISION WILL BE FINAL AND BINDING. JUDGMENT ON THE ARBITRAL AWARD MAY BE ENTERED IN ANY COURT OF COMPETENT JURISDICTION.
WE EACH AGREE THAT ALL CLAIMS WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION OR ARBITRATION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, WE EACH WAIVE ANY RIGHT TO A JURY TRIAL AND AGREE THAT SUCH CLAIM WILL BE BROUGHT ONLY IN THE STATE OR FEDERAL COURTS LOCATED IN THE STATE OF DELAWARE. YOU HEREBY SUBMIT TO THE PERSONAL JURISDICTION AND VENUE OF SUCH COURTS AND WAIVE ANY OBJECTION ON THE GROUNDS OF VENUE, FORUM NON-CONVENIENS, OR ANY SIMILAR GROUNDS WITH RESPECT TO ANY SUCH CLAIM.
ANY CAUSE OF ACTION OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SELECTION WEEKEND MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
Notwithstanding anything in this Section to the contrary, WeRoad may seek injunctive or other equitable relief from any court of competent jurisdiction to protect its intellectual property rights or confidential information, whether in aid of, pending, or independently of any arbitration proceeding.
16. GENERAL PROVISIONS
16.1 Entire Agreement. These Terms, together with the Admission Confirmation and the WeRoad Privacy Policy, constitute the entire agreement between you and WeRoad with respect to your participation in the Selection Weekend and supersede all prior oral or written understandings or representations relating to the same subject matter. These Terms are in addition to, and do not supersede, the WeRoad Inc. General Terms and Conditions for Package Travel (U.S.) or the WeRoad Website Terms and Conditions, which continue to govern your purchase of any travel packages and your use of the WeRoad website, respectively.
16.2 Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable in any jurisdiction, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable; all remaining provisions shall remain in full force and effect in that jurisdiction and all other jurisdictions.
16.3 Amendment. WeRoad reserves the right to amend these Terms at any time. The version of the Terms applicable to a Participant’s registration is the version in effect at the time the Admission Confirmation is issued. WeRoad will use reasonable efforts to notify Participants of material changes by posting updated Terms on its website.
16.4 Assignment. You may not assign, transfer, or delegate any right or obligation under these Terms without WeRoad’s prior written consent. WeRoad may freely assign or transfer these Terms or any of its rights or obligations hereunder without notice to you.
16.5 Waiver. No failure or delay by WeRoad in exercising any right, power, or remedy under these Terms shall constitute a waiver of that right, power, or remedy. Any waiver by WeRoad must be in writing and signed by an authorized representative of WeRoad.
16.6 No Third-Party Beneficiaries. These Terms are for the exclusive benefit of WeRoad and the Participant and do not confer any rights or remedies on any third party.
16.7 Notices. All written notices to WeRoad under these Terms must be sent by email to selection@weroad.com (for Selection Weekend-related matters) or to booking@weroad.com (for general inquiries), or by certified mail to WeRoad, Inc., [Address], [City, State, ZIP Code]. Notices from WeRoad to the Participant will be sent to the email address provided in the Participant’s application.
16.8 No Employment or Agency Relationship. Nothing in these Terms or in participating in the Selection Weekend creates any employment relationship, independent contractor relationship, partnership, joint venture, or agency between the Participant and WeRoad. Participation in the Selection Weekend does not guarantee selection as a Group Leader, and selection as a Group Leader does not create any employment relationship unless separately agreed in writing.
16.9 Reference to General Terms. For matters not expressly addressed in these Terms, including without limitation data privacy, general website use, and any travel packages subsequently booked by a Participant, the WeRoad Inc. General Terms and Conditions for Package Travel (U.S.) and the WeRoad Website Terms and Conditions shall apply, each as available at www.weroad.com.
16.10 State-Specific Consumer Rights. Nothing in these Terms is intended to limit any rights you may have under the mandatory consumer protection laws of your state of residence that cannot lawfully be excluded or limited by contract.
