GENERAL TERMS OF ONBOARDING TO THE WEMEET PLATFORM - EVENT CREATOR
Effective date: 11 August 2026
English translation provided for information purposes only. This is a courtesy translation of the Italian original ("Condizioni Generali di Adesione alla Piattaforma WeMeet - Event Creator"). This Agreement is governed by Italian law (art. 15.1); in the event of any discrepancy between the two versions, the Italian version prevails.
These General Terms of Onboarding (the "EC Terms") govern the contractual relationship between WeRoad S.p.A., with registered office in Milan, Viale Cassala 30, VAT and tax code 10380820968, in the person of its legal representative pro tempore ("WeRoad" or the "Platform") and the Event Creator (the "EC") in relation to the use of the WeMeet App for the publication, promotion and sale of Events organised independently by the EC (the "EC Events").
By creating an account as an Event Creator and completing the onboarding process on the WeMeet App, the EC declares that it has read, understood and fully accepted these EC Terms, together with the WeMeet Manifesto and the related policies incorporated by reference, which form an integral and essential part of the Agreement between the Parties.
1. DEFINITIONS
1.1 For the purposes of these EC Terms, the following terms, wherever used with an initial capital letter, have the meaning set out below:
"App" or "Platform": the WeMeet mobile and/or web application operated by WeRoad, through which Event Creators may publish, promote and sell EC Events to Participants.
"Chapter Lead" or "CL": the person appointed by WeRoad to animate the local community and manage relationships with ECs in the relevant territory.
"EC Terms": these General Terms of Onboarding.
"Sale Contract": the contract for participation in an EC Event, concluded directly between the EC and the Participant through the App.
"Event Creator" or "EC": the person, identified at registration, who onboards onto the Platform in order to publish and sell EC Events.
"EC Event": the event organised independently by the EC and published on the App for sale to Participants.
"WeMeet Manifesto": the document setting out the values, principles and guidelines of the WeMeet community, incorporated by reference into these EC Terms.
"Parties": WeRoad and the EC, jointly.
"Participant": the consumer user who purchases participation in an EC Event through the App.
"Service": the technological infrastructure of the App made available to the EC by WeRoad pursuant to Art. 2.1.
"WeRoad": WeRoad S.p.A., owner and operator of the Platform.
2. ROLE OF THE PARTIES AND SUBJECT MATTER OF THE SERVICE
2.1 The WeMeet Platform. WeRoad makes available to the EC the technological infrastructure of the WeMeet App (the "Service") in order to allow the EC to publish and sell participation in EC Events to Participants.
2.2 Independence of the Parties. WeRoad acts exclusively as an information society service provider and technological intermediary. The Sale Contract for tickets to EC Events is concluded exclusively and directly between the EC and the Participant. WeRoad is not the organiser of the EC Event, nor does it act as the EC's representative or agent.
2.3 Chapter Lead. The EC will operate within a local network coordinated by a Chapter Lead ("CL"), a person appointed by WeRoad to animate the community and manage relationships with ECs in the relevant territory. The EC undertakes to cooperate with the CL in compliance with WeRoad's guidelines and acknowledges that the CL may be the first point of contact for communications and support relating to the Platform.
3. ONBOARDING, REGISTRATION AND ACCOUNT
3.1 Registration and Checks. In order to onboard onto the Platform, the EC must complete registration through the App, providing its identification data and any documentation requested. WeRoad will review the onboarding request and the completeness of the documentation provided by the EC and reserves the right to request additional documentation (e.g. company registration extract, identity document) where deemed necessary in order to verify the EC's identity and compliance with security requirements, or where required by specific legal provisions. The Agreement is deemed concluded when the EC receives final confirmation of acceptance from WeRoad.
3.2 Account Management. The EC undertakes to keep its authentication credentials secret and confidential, ensuring that no one else has access to them, and is responsible for all activity carried out through its account. Should the EC suspect or become aware of any unlawful use or improper disclosure of its credentials, it undertakes to notify WeRoad promptly at wemeet@weroad.com . The EC further undertakes to keep its personal, tax and contact details constantly up to date.
3.3 DAC7 Obligations. Pursuant to Legislative Decree 32/2023, implementing EU Directive 2021/514 ("DAC7"), WeRoad is required to carry out the tax due diligence procedures set out in artt. 3-9 of that Decree and to report annually to the Italian Revenue Agency the identification and income data of ECs exceeding the statutory thresholds, pursuant to artt. 10 and 11 of the Decree. The EC undertakes to provide WeRoad promptly, at onboarding and upon subsequent request, with all necessary tax information, including tax code, VAT number and IBAN. In the event of failure to communicate the requested information completely and correctly, WeRoad is obliged, after two reminders and a period of 60 days from the second reminder, to suspend the Service and to prevent the EC from registering again until the position is regularised, without prejudice to its right to withhold amounts due to the EC until the requested information has been fully received.
4. CREATION, MANAGEMENT AND APPROVAL OF EVENTS
4.1 Organisational Autonomy. The EC is free to determine the type, location, date and price of its EC Events, provided that it complies with applicable law, the WeMeet Manifesto and these EC Terms. The EC warrants that it has actual availability of the venues and services promoted.
4.2 Approval of Events. The publication of EC Events on the App may be subject to a pre-approval procedure, whether automated through algorithmic systems or manual, aimed at preventing fraud and verifying compliance with the WeMeet Manifesto and applicable law. Where the publication of an EC Event is refused, removed or suspended, WeRoad will inform the EC of the decision and of the main reasons for it. The EC may challenge the decision through the internal complaint-handling system referred to in Art. 10 and, where applicable, request that it be reviewed by a human operator.
4.3 Accuracy of Information. The EC is solely responsible for the completeness and accuracy of the information entered on the Event page. The EC undertakes to provide a complete, accurate and up-to-date description of the EC Event. It is understood that such description must include: dates and times, location (meeting point), duration, accessibility and characteristics of the venue, total price, services included and excluded, refund policy and any other useful information, including information on eligibility (for example, minimum age, skills or permits required (such as a driving licence), level of physical fitness or inherent risks (including risks for people with pre-existing medical conditions), recommended clothing, etc. It is prohibited to use misleading techniques or to omit mandatory costs, to include terms and/or conditions contrary to applicable law and/or information and/or data that do not correspond to the truth. WeRoad may refuse or suspend EC Events that do not carry correct and adequate information.
4.4 Prices. The EC sets the sale price at which the EC Event will be offered to Participants. The price must be complete and include all applicable taxes, charges or other amounts. It is strictly prohibited to collect, or attempt to collect, any additional fees or prices from the Participant.
4.5 Minimum and Maximum Number of Participants. The EC may state, on the EC Event page, a minimum and/or maximum number of Participants required for the Event to take place. This information must be made available to Participants before purchase.
4.6 Cancellation or Modification of the Event by the EC. Where the EC needs to cancel or substantially modify an EC Event already published (e.g. because the minimum number of Participants has not been reached, adverse weather conditions for outdoor events, supervening unavailability of the venue or of the promised services, or any other cause), the EC must state on the Event page the notice period within which it will communicate such cancellation or modification to Participants, without prejudice to Art. 6.5 on full refunds. The EC undertakes to communicate the cancellation or modification promptly through the Event chat on the App, as soon as it becomes aware of it.
4.7 Documentation and Identification of Participants. Where necessary for reasons of safety, venue capacity or specific regulatory requirements of the EC Event (e.g. events involving the service of food and beverages, access to private or capacity-restricted spaces), the EC may request additional identification data or documents necessary for access from Participants, through the Event page, in compliance with the data minimisation principle and applicable personal data protection law.
5. DUTIES OF THE EVENT CREATOR
5.1 Assistance to Participants. The EC is required to manage the relationship with Participants, responding promptly to their requests through the Event chat on the App. The EC must not induce Participants to conclude transactions outside the Platform in order to circumvent commissions.
5.2 Inclusivity and Non-Discrimination. The EC undertakes to promote a safe, inclusive and respectful environment. Any behaviour, message or image of a discriminatory, racist, sexist or homophobic nature, or which harms personal dignity, is strictly prohibited. Breach of this obligation constitutes grounds for immediate termination of this agreement.
5.3 Safety and Regulatory Compliance. The EC declares and warrants that EC Events will be held in full compliance with applicable law (including law on public safety, hygiene and the service of food and beverages). Where the EC Event involves performances, entertainment or the performance, including as background music, of musical works or other works protected by copyright, the EC is solely responsible for obtaining the necessary SIAE authorisations (or those of any other body authorised to manage copyright) and for paying the related fees, as well as for complying with the reporting obligations required by applicable law. The EC undertakes to: (i) comply with the maximum capacity of the venues where the EC Event takes place; (ii) adopt the organisational measures necessary to manage any emergencies during the EC Event; (iii) inform Participants, through the Event page, of any specific risks connected with participation (e.g. physical activities, excursions, use of equipment) and of the eligibility requirements. The EC is invited to take out and maintain adequate third-party liability insurance policies covering the risks connected with its Events.
6. PAYMENTS
6.1 Event booking and notifications. The booking of an EC Event is completed through the App when the Participant completes the purchase procedure and the related payment is duly authorised. Following the booking, the App sends the Participant confirmation of purchase and makes available to the EC, through the reserved area or the Event page, the information necessary to manage the participation. The EC is required to monitor the bookings received through the App and to manage operational communications with Participants through the tools made available by the Platform.
6.2 Payment system. Payments relating to EC Events are managed through Stripe Payments Europe, Limited ("Stripe"), a third party providing payment services under its own contractual terms, available at https://stripe.com/legal/connect-account (the "Stripe Terms"). In order to receive the payments relating to the prices paid by Participants for EC Events, the EC is required to open its own account with Stripe, linked to the Platform, and to accept the Stripe Terms, undertaking to comply with them for the entire duration of the relationship with WeRoad. Opening the Stripe account is free of charge for the EC. WeRoad merely makes the technological infrastructure of the Platform available to the EC and configures, through Stripe, the technical payment and allocation mechanism described in Artt. 6.3 and 6.4 below, without ever collecting, receiving on deposit or otherwise holding the amounts due from Participants or payable to the EC.
6.3 WR Commission. WeRoad applies a commission equal to a percentage of the total price of the EC Event paid by the Participant (the "Commission"), in consideration of the technological intermediation services provided under these EC Terms. The applicable percentage is stated in the "Commissions" section of the App and is made visible to the EC before the Event is published. The Commission is withheld in favour of WeRoad at the time the Participant's payment is authorised, in accordance with the technical mechanism set up through Stripe. The charges applied by Stripe for executing the payment transaction are borne by the EC and are deducted from the amount of the transaction itself, in accordance with the Stripe Terms.
6.4 Crediting. By virtue of the payment mechanism described in Art. 6.2, the amount paid by the Participant, less the WR Commission due to WeRoad and the Stripe charges borne by the EC, is credited directly to the EC's Stripe account at the time of payment. The subsequent transfer of the sums from the EC's Stripe account to the bank account indicated by the EC takes place in accordance with the terms and conditions set out in the Stripe Terms, without any intervention, control or responsibility on the part of WeRoad in relation to such transfer.
6.5 Refunds. Pursuant to art. 59, paragraph 1, letter n), of the Italian Consumer Code, the right of withdrawal does not apply to services relating to leisure activities to be enjoyed on a specific date or during a specific period. The EC may provide cancellation or refund terms that are more favourable to the Participant, provided that it states them clearly on the Event page. In the event of cancellation of the EC Event by the EC, or of a substantial modification preventing the Participant from enjoying the service purchased, the Participant is entitled to a full refund of the amount paid through the Platform. In such cases, the EC is not entitled to any consideration and the refund may not be reduced by the WR Commission. Where the EC has already received amounts relating to an EC Event that is subject to a refund, the EC must return them or allow them to be recovered by set-off against future amounts. The EC remains responsible for any refund requests, payment disputes or chargebacks relating to EC Events.
Without prejudice to the above, where WeRoad suspends a Participant pursuant to the App's General Terms for breaches of applicable law, of the WeMeet Manifesto or of the App's terms of use, and such suspension entitles the Participant to a refund of tickets for future EC Events not yet enjoyed, the EC expressly authorises WeRoad to arrange, through Stripe, the refund of such amounts directly from the EC's Stripe account, notifying the EC accordingly. This power does not apply where the suspension is based on established fraud by the Participant, in which case no refund is due.
6.6 Tax obligations and accounting documentation. The EC is solely responsible for declaring and paying VAT, income taxes and any other tax, duty or contribution due in relation to the sale of EC Events. The issuance of invoices, receipts, acknowledgements or other tax or accounting documentation to Participants, where required or necessary under applicable law, is the exclusive responsibility of the EC. WeRoad is not required to verify the existence of the requirements, conditions or deadlines for issuing such documentation, nor may it be held liable for its omitted, late or incorrect issuance. The EC warrants that the tax and personal data provided through the Platform are correct, complete and up to date, and indemnifies WeRoad against any damage, cost, liability or claim arising from the use of incorrect, incomplete or out-of-date data.
6.7 Reporting. The EC may consult through the App, where available, the summary of bookings and sales of its EC Events, of the amounts collected from Participants, of the WeRoad commission applied, of the proceeds transferred and of any refunds, payment disputes or chargebacks.
7. RANKING AND TRANSPARENCY
7.1 Ranking. The App does not use algorithmic parameters to determine differentiated ranking of EC Events in search results: Events are shown according to objective criteria (e.g. date, geographical distance).
7.2 Access to Data. The EC has access, through its reserved area on the App, to statistical and analytical data relating to its own Events (e.g. number of views, sales, reviews). WeRoad may use aggregated Platform data to improve its services and marketing campaigns, in compliance with applicable personal data protection law.
8. PROCESSING OF PERSONAL DATA (GDPR)
8.1 Independent Controllers. For the purposes of managing EC Events, WeRoad shares with the EC the strictly necessary personal data of Participants (e.g. name, ticket status, contact details). In relation to such data, WeRoad and the EC act as Independent Data Controllers, each responsible for complying with the obligations applicable to it in relation to the processing carried out for its own purposes.
8.2 The EC's Privacy Obligations. The EC undertakes to:
Use Participants' data exclusively for the organisation, management and support relating to the specific EC Event for which they were collected, on the legal basis of performance of the Sale Contract (art. 6(1)(b) GDPR).
Not use Participants' data for direct marketing purposes without having first obtained the Participant's separate, freely given, specific and informed consent, pursuant to art. 6(1)(a) GDPR.
Adopt appropriate technical and organisational security measures.
Promptly inform WeRoad, and in any event no later than 48 hours from discovery, of any personal data breach involving Participants' data, providing all information useful to enable WeRoad to comply with its obligations under artt. 33 and 34 GDPR.
9. SUSPENSION, TERMINATION AND WITHDRAWAL
9.1 Suspension. WeRoad reserves the right to suspend the EC's account or remove specific Events where the EC breaches these EC Terms, the WeMeet Manifesto or applicable law. Save in urgent cases connected with the prevention of fraud, unlawful content or safety risks, WeRoad will provide the EC with a written statement of reasons on a durable medium before or at the same time as the suspension, indicating the relevant facts and circumstances, including, where relevant, the role of any third-party notices. The EC may submit its observations, without prejudice to Art. 10.
9.2 Termination by WeRoad. WeRoad may terminate this agreement with immediate effect in the cases listed below, upon notice from WeRoad, to be sent to the EC by registered mail with return receipt and/or certified email (PEC) and/or email, stating its intention to rely on this express termination clause, without prejudice to its right to compensation for greater damage:
Breach of the obligations of inclusivity and non-discrimination (Art. 5.2).
Infringement of WeRoad's intellectual property rights or improper use of the Platform (Art. 12.1 and Art. 12.3).
Unlawful activity or the sale of fictitious events.
9.3 Withdrawal by the EC. The EC is entitled to withdraw from this agreement at any time and without giving reasons, by deleting its account through the App, without prejudice to its obligation to carry out or fully refund the EC Events already published and for which tickets have been sold. The EC's exercise of the right of withdrawal does not release it from the obligation to pay WeRoad, including after termination of the agreement, any amount due to WeRoad.
10. COMPLAINT HANDLING AND MEDIATION
10.1 Internal Complaint System. The EC may submit complaints relating to technological issues, suspension or restriction measures, content moderation decisions or alleged breaches of these EC Terms through the dedicated email address: wemeet@weroad.com WeRoad undertakes to handle complaints promptly, in a non-discriminatory, diligent and non-arbitrary manner, providing the EC with a reasoned response.
10.2 Mediation. Pursuant to art. 12 of Regulation (EU) 2019/1150, disputes that cannot be resolved through the internal complaint system may be submitted to mediation before at least two independent mediators identified by WeRoad in these EC Terms or through a dedicated information page. The Parties undertake to act in good faith during the procedure. Mediation is optional and does not prejudice either Party's right to bring proceedings before the competent court.
11. LIMITATION OF LIABILITY AND INDEMNITY
11.1 Limitation. The EC understands and accepts that the Platform and the Service are provided "as is" and "as available", and that WeRoad expressly disclaims all warranties of any kind, express or implied, including, by way of example, any warranty of merchantability, fitness for a particular purpose or non-infringement. Use of the Platform is at the EC's sole risk. To the maximum extent permitted by law, WeRoad will not be liable for indirect damages, loss of profits or loss of data arising from use of the Platform and, in any event, WeRoad's total liability, howsoever arising out of or in connection with these EC Terms, will not exceed an amount equal to the commissions paid by the EC to WeRoad in the 12 months immediately preceding the first incident giving rise to the claim.
11.2 Service Continuity. WeRoad will do everything possible to keep the Platform operational, in order to ensure continuous operation of and access to the Service, but is not liable for damages due to improper use of the Platform, or for malfunctions and/or interruptions of the Platform's activity or of the provision of the Service caused by force majeure or fortuitous event, interruption of the electricity supply, lack of connectivity, software errors, hardware failures, database problems or, generally, malfunctions of the Platform not attributable to WeRoad's wilful misconduct or gross negligence. For the purposes of these EC Terms, force majeure means any event beyond the reasonable control of the Parties which prevents or delays performance by either of them, including, by way of example and without limitation: strikes, lock-outs, riots, civil war, invasion, war, government measures, terrorist attacks and natural events such as fires, explosions, floods, earthquakes and epidemics.
11.3 Indemnity. The EC undertakes to indemnify and hold harmless WeRoad, its employees and the Chapter Leads from any claim for compensation, damage, penalty, legal expense or charge arising from:
The organisation, holding or cancellation of EC Events.
Injury to persons or damage to property occurring during EC Events.
Infringement of third-party intellectual property rights.
The EC's tax or social security defaults.
12. INTELLECTUAL PROPERTY AND USE OF THE PLATFORM
12.1 WeRoad's Rights. WeRoad holds all intellectual property rights relating to the technological infrastructure, the software and the graphical interface of the WeMeet App, to the "WeMeet" and "WeRoad" trade marks and to any other related distinctive sign.
12.2 Licence over the EC's content. The EC declares and warrants that it holds all rights in the photographs, images, texts and other content published through the App in relation to its EC Events, and grants WeRoad a non-exclusive, royalty-free licence, limited to the duration of the contractual relationship, to use such content solely for the purposes of publishing and promoting it on the Platform.
12.3 Prohibition of improper use. The EC undertakes not to use the App in any way that may cause its interruption, damage or impairment, and not to undertake activities aimed at obtaining unauthorised access to WeRoad's systems, decompiling or disassembling the Platform's software, or transmitting material that infringes intellectual property rights or other third-party rights.
13. AMENDMENTS TO THE TERMS
13.1 WeRoad reserves the right to amend these EC Terms, informing the EC with a minimum notice period of 15 days by email or in-App notification. The notice period will exceed 15 days where the amendments require significant technical or commercial adjustments by the EC in order to comply with them. The notice period does not apply where WeRoad is subject to a legal or regulatory obligation requiring an immediate amendment, or must address an unforeseen and imminent danger connected with protecting the Platform, Participants or ECs from fraud, malware, spam, data breaches or IT security risks.
13.2 Where the EC does not accept the amendments, it will have the right to withdraw from the agreement before the expiry of the notice period, with effect from the date on which the amendments take effect. The publication of new EC Events after receipt of the amendment notice constitutes a positive action waiving the notice period and accepting the new Terms, except where the amendments require significant technical adjustments by the EC justifying a notice period longer than 15 days.
14. ASSIGNMENT AND SUBCONTRACTING
14.1 WeRoad may assign, in whole or in part, this Agreement, or the rights and obligations arising from it, to a company of the WeRoad Group, including without the EC's prior consent, notifying the EC by email or in-App notification.
14.2 WeRoad may also use companies of the WeRoad Group, or third parties, to perform, in whole or in part, its obligations under these EC Terms, remaining in any event responsible to the EC for their exact performance.
14.3 The EC may not assign this Agreement, or the rights and obligations arising from it, without WeRoad's prior written consent.
15. GOVERNING LAW AND JURISDICTION
15.1 These EC Terms are governed by Italian law.
15.2 Any dispute arising from the interpretation, performance or termination of this agreement will be submitted to the exclusive jurisdiction of the Court of Milan.
EXPRESS APPROVAL (Artt. 1341 and 1342 of the Italian Civil Code)
The Event Creator declares that it has carefully read and expressly approves, pursuant to and for the purposes of artt. 1341 and 1342 of the Italian Civil Code, the following clauses:
